Any US single-member LLC treated as a disregarded entity that is 25% or more foreign-owned must file Form 5472 attached to a Pro Forma 1120. This applies even if the LLC had zero transactions or revenue — there is no de minimis exception. Common cases: Brazilian, Chinese, Indian, European or any non-US citizen who owns a US LLC.
The IRS imposes an automatic $25,000 penalty per form, per year for failure to file or maintain required records. This penalty can be assessed even if the LLC had zero activity. The penalty is not waived by an extension — you must actually file the form.
Correct. The Form 5472 is signed by the LLC's officer — that's you. There is no legal requirement to use a paid preparer. The 'Paid Preparer' section on the form is left blank when you file yourself, which is completely normal. One important distinction: when you use a CPA, they bear professional responsibility for errors. When you file yourself, you are responsible for the accuracy of the information you provide. Our wizard validates your data at every step, but you should review the final document before submitting.
The IRS requires disregarded entities to submit the 5472+1120 by fax or mail — they don't accept electronic filing for this form type. The system handles the fax automatically.
